Private Limited company registration in India
We recommend the structure, prepare every document, obtain digital signatures and director IDs, and file SPICe+ on the MCA V3 portal. PAN, TAN, EPFO and ESIC registration come with it, usually 7 to 15 working days after your documents are ready.
What you need
The Companies Act, 2013 sets a few basic requirements. Everything else is paperwork we prepare.
- DirectorsAt least two. At least one must stay in India for 182 days or more during the financial year. Foreign nationals can be directors.
- ShareholdersAt least two and at most 200. They can be the same people as the directors.
- CapitalNo minimum paid-up capital. Authorised capital decides the stamp duty and filing fee, which vary by state.
- NameMust end with "Private Limited" and must not be identical or too similar to an existing company name or trademark.
- Registered officeAn address in India with proof: rent agreement or ownership document, a recent utility bill and the owner's no-objection.
- Documents per personPAN, Aadhaar or passport, address proof and a photograph. Foreign nationals use a passport and an apostilled or notarised address proof.

Private Limited registration questions
How long does registration take?
Usually 7 to 15 working days from when your documents are ready. Name approval and MCA processing set the pace.
Can a foreign national or NRI be a director or shareholder?
Yes. At least one director must stay in India for 182 days or more during the financial year, and shares issued to a foreign investor are reported to the RBI on Form FC-GPR within 30 days. See setting up an Indian subsidiary.
Do I need GST registration straight away?
Only once turnover crosses the threshold or you supply goods across states. If you need it from day one, it can be applied for with the incorporation through AGILE-PRO-S.
Should I choose a Private Limited company or an LLP?
A Private Limited company suits founders who plan to raise investment or offer ESOPs. An LLP has lighter annual compliance. See LLP registration for the comparison.
